Welcome to the SourceNow Marketplace (“Marketplace”). The Marketplace is operated by SourceNow (“SourceNow,” “we,” “us,” or “our”) and is designed to help organizations discover staffing suppliers and help staffing suppliers increase their visibility to potential clients.
By accessing, browsing, registering for, or using the Marketplace, you agree to these Supplier Marketplace Terms of Use (“Terms”), as well as the SourceNow Privacy Policy and any additional terms presented to you in connection with specific Marketplace features.
If you do not agree to these Terms, you should not use the Marketplace.
The Marketplace provides a platform where organizations can search for staffing suppliers based on criteria such as job category, location, capabilities, certifications and qualifications, ratings, geographic coverage, and SourceNow Verified status.
Staffing suppliers may create or maintain business profiles that help organizations understand their capabilities and determine whether they may be a potential fit for their workforce needs.
Unless otherwise stated in a separate written agreement, SourceNow provides the Marketplace as a discovery and connection platform. A listing, search result, introduction, or connection through the Marketplace does not by itself create a staffing, employment, vendor, agency, partnership, or other contractual relationship.
You must be at least 18 years old and authorized to act on behalf of the company or organization you represent to create or use a Marketplace account.
You agree to provide accurate, current, and complete information and to keep your account information up to date.
You are responsible for maintaining the confidentiality of your account credentials and for activity conducted through your account.
SourceNow may suspend, restrict, or terminate an account when we reasonably believe these Terms have been violated, information is inaccurate or misleading, or use of the Marketplace may create risk for SourceNow or other users.
Suppliers are responsible for ensuring that all information displayed in their Marketplace profile is accurate, complete, and current.
Profile information may include company name, locations served, industries, job categories, capabilities, certifications, qualifications, insurance information, geographic coverage, diversity classifications, company descriptions, logos, and other relevant business information.
By submitting profile information, suppliers authorize SourceNow to display that information within the Marketplace and to use it for the operation, promotion, and improvement of Marketplace services.
Suppliers must promptly update information that becomes inaccurate, expired, or no longer applicable.
Certain supplier profiles may display a SourceNow Verified designation.
SourceNow Verified indicates that SourceNow has reviewed selected information or documentation provided by or relating to the supplier. Depending on the supplier and applicable requirements, this review may include business information, certifications, insurance documentation, qualifications, or other relevant materials.
Verification reflects information available to SourceNow at the time of review. It is not a guarantee, certification, endorsement, warranty, or representation of a supplier’s future performance, financial condition, legal compliance, suitability, or ability to satisfy a particular organization’s requirements.
Organizations remain responsible for conducting any due diligence required by their own policies, contractual requirements, industry standards, and applicable law before engaging a supplier.
SourceNow may update, suspend, or remove Verified status if documentation expires, information changes, or verification requirements are no longer satisfied.
Marketplace search results may be generated based on information such as location, job category, capabilities, certifications, qualifications, ratings, nationwide coverage, SourceNow Verified status, and other available criteria.
The order in which suppliers appear does not guarantee that a particular supplier is the best or most appropriate provider for a specific organization.
Search results, recommendations, suggested matches, filters, or other Marketplace features are provided to assist with supplier discovery. Organizations are responsible for evaluating suppliers and making their own selection and contracting decisions.
SourceNow does not guarantee that use of the Marketplace will result in a supplier relationship, staffing engagement, job order, contract, revenue opportunity, candidate placement, or other business outcome.
The Marketplace may allow organizations and suppliers to request introductions, exchange contact information, or otherwise connect.
Users are responsible for evaluating potential business relationships and negotiating any resulting commercial terms, including rates, fees, services, insurance requirements, compliance obligations, warranties, payment terms, and contractual conditions.
Unless SourceNow is specifically named as a party under a separate agreement, SourceNow is not responsible for agreements, communications, disputes, payments, services, candidates, employees, or other activity arising between Marketplace users.
Where the Marketplace allows users to submit ratings, reviews, or feedback, users agree to provide information based on genuine business experiences and not to submit false, misleading, defamatory, manipulated, or fraudulent content.
SourceNow may review, moderate, remove, or restrict ratings or reviews that violate these Terms, applicable law, or Marketplace policies.
Ratings and reviews represent the views of the users who submit them and do not necessarily represent the views of SourceNow.
SourceNow does not guarantee that every review will be independently verified.
Users may use the Marketplace only for legitimate business purposes related to staffing supplier discovery, supplier visibility, workforce sourcing, or related services.
Users may not scrape or systematically extract Marketplace data; use bots or automated systems without authorization; create false accounts or supplier profiles; impersonate another person or organization; submit fraudulent certifications, credentials, ratings, or documentation; use Marketplace information to send spam or unrelated marketing communications; attempt to gain unauthorized access to SourceNow systems; interfere with Marketplace operation or security; copy or commercially redistribute Marketplace data without authorization; or use the Marketplace in violation of applicable laws or third-party rights.
Suppliers are solely responsible for maintaining all licenses, registrations, insurance, certifications, permits, and other requirements applicable to their business and services.
Participation in the Marketplace does not relieve suppliers of any legal, regulatory, contractual, tax, employment, insurance, wage and hour, workplace safety, immigration, credentialing, or other obligations applicable to their operations.
SourceNow may request updated documentation at any time when reasonably necessary to support Marketplace integrity or verification processes.
The SourceNow name, logos, Marketplace design, software, graphics, interfaces, content, and other materials provided by SourceNow are owned by or licensed to SourceNow and are protected by applicable intellectual property laws.
Users retain ownership of information and materials they submit to the Marketplace.
By submitting content, users grant SourceNow a non-exclusive, worldwide, royalty-free license to host, reproduce, display, format, and use that content as reasonably necessary to operate, market, support, and improve the Marketplace.
Users represent that they have the necessary rights and permissions to provide all content submitted to the Marketplace.
SourceNow collects and processes information in connection with Marketplace accounts, supplier profiles, searches, interactions, and other Marketplace activity.
Our collection and use of personal information is governed by the SourceNow Privacy Policy.
Certain supplier profile information is intended to be visible to organizations using the Marketplace. Suppliers should not upload confidential, sensitive, or proprietary information that they do not want displayed or shared through the Marketplace.
When you request information, connect with a supplier or organization, submit a Marketplace form, or otherwise initiate contact through the Marketplace, you authorize SourceNow to facilitate communications related to that request.
Marketing communications, SMS communications, and other optional communications will remain subject to applicable consent requirements and SourceNow communication policies.
Certain Marketplace features may be available free of charge, while premium listings, promotional services, enhanced visibility, or other optional services may require payment. Applicable pricing and additional terms will be disclosed before purchase.
Supplier profiles may contain information, links, certifications, logos, or materials originating from third parties.
SourceNow is not responsible for the availability, accuracy, security, policies, or practices of third-party websites or services.
Users access third-party resources at their own discretion and risk.
SourceNow makes reasonable efforts to support accurate supplier discovery and Marketplace information. However, SourceNow does not guarantee the accuracy or completeness of all information submitted by third parties.
SourceNow does not guarantee supplier performance, candidate quality, fulfillment rates, pricing, availability, regulatory compliance, financial stability, service quality, or any particular business result.
Organizations should conduct appropriate due diligence before entering into a business relationship with any supplier.
SourceNow may modify, update, suspend, discontinue, or restrict all or part of the Marketplace at any time.
We do not guarantee that the Marketplace will always be available, uninterrupted, secure, or free from errors.
Marketplace features, filters, eligibility standards, verification processes, and functionality may evolve over time.
SourceNow may remove content, suspend listings, remove SourceNow Verified status, restrict access, or terminate Marketplace accounts when reasonably necessary to protect Marketplace users, enforce these Terms, respond to suspected fraud or misconduct, or comply with applicable law.
Users may discontinue use of the Marketplace at any time.
Certain provisions of these Terms that by their nature should survive termination will continue to apply following termination.
To the fullest extent permitted by applicable law, the Marketplace is provided on an “as is” and “as available” basis.
SourceNow disclaims warranties, express or implied, regarding Marketplace availability, accuracy, reliability, merchantability, fitness for a particular purpose, and non-infringement, except where such disclaimers are prohibited by law.
To the fullest extent permitted by applicable law, SourceNow and its affiliates, officers, directors, employees, agents, and service providers will not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages arising from or related to use of the Marketplace.
To the extent permitted by applicable law, users agree to indemnify and hold harmless SourceNow and its affiliates, officers, directors, employees, and agents from claims, damages, liabilities, losses, and expenses arising from their Marketplace content, business activities, violation of these Terms, violation of law, or infringement of third-party rights.
SourceNow may update these Terms periodically to reflect changes to Marketplace functionality, business practices, or legal requirements.
The updated Terms will become effective when posted unless otherwise stated. The “Last Updated” date at the top of this page indicates when these Terms were most recently revised.
Continued use of the Marketplace after updated Terms become effective constitutes acceptance of those Terms to the extent permitted by applicable law.
These Terms and any dispute relating to the Marketplace will be governed by the laws of the State of Florida, without regard to conflict-of-law principles.
